03 / Mandate 01, worked

A 9-entity group, cleared for a single sale.

The group had grown by acquisition into nine legal entities across three jurisdictions, with financing and inter-company balances that no single set of accounts explained. A buyer had signalled interest; the board could not have said, on paper, what it was selling.

We mapped the entities to the exposure each carried, retired the inter-company positions that would have failed diligence, and sequenced a reorganisation that left one clean holding structure. The financing was consolidated into a single facility ahead of the process, so the sale ran to one completion instead of nine.

The outcome was an aggregate consideration of £840m at completion — and, as important, a board that could answer every question a buyer's counsel asked, from the record. 2
